Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Coproly platform (the "Service").

The Service is owned and operated by CyberWorks, which is the parent company and owner of the product Coproly.

Throughout these Terms, "Coproly," "we," "us," or "our" refers to CyberWorks as the operating entity of the Coproly Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

You must be at least 18 years old to create an account and use the Service.

2. Service Plans & Subscriptions

Coproly offers several plans for its Service:

  • Free Plan: We offer a Free Plan with a limited set of features and usage restrictions. We reserve the right to modify the features, limitations, or availability of the Free Plan at any time, with or without notice.

  • Paid Plans (Monthly & Annual): We offer paid subscriptions on a monthly ("Monthly Plan") or yearly ("Annual Plan") basis.

3. Payments and Billing

a) General: You agree to pay all fees specified for your chosen Paid Plan. All fees are in USD and are non-refundable, except as required by law.

b) Billing Cycle:

  • Monthly Plan: Your subscription will be billed on a monthly basis, starting on the date you subscribe and recurring on the same day of each subsequent month.

  • Annual Plan: Your subscription will be billed for a one-year term in advance on the date you subscribe.

c) Payment Processing: We use a third-party payment processor (e.g., Paddle) to handle all payments. You must provide our processor with valid and current payment information.

d) Automatic Renewal: Your subscription for a Paid Plan will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel it before the end of the current cycle. You authorize us (through our payment processor) to charge your payment method for the renewal term.

e) Price Changes: We reserve the right to change the prices for our Paid Plans. We will provide you with reasonable prior notice (e.g., via email) of any price changes before they take effect.

4. Cancellation and Termination

a) Cancellation by You: You may cancel your subscription at any time.

  • Free Plan: You can stop using the Free Plan at any time.

  • Paid Plans: If you cancel your Monthly or Annual Plan, your cancellation will take effect at the end of your current paid billing cycle. You will retain access to the paid features until the end of that cycle.

b) Termination by Us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

5. Refund Policy

a) 14-Day Refund Window: In compliance with our payment processor's (Paddle) buyer terms, we offer a 14-day refund policy. You are eligible for a full refund if you cancel your initial subscription of a Paid Plan (either Monthly or Annual) within fourteen (14) days of your first payment.

b) How to Request a Refund: To request a refund within this 14-day period, you can go to your dashboard, and from the page settings/subscription, click on 'Cancel My Subscription'.

c) Policy After 14 Days: After the 14-day period has expired, all payments are non-refundable. We will not provide refunds or credits for any partial subscription periods, unused time, mid-cycle cancellations, or subscription renewals.

d) Subscription Renewals: This 14-day refund policy applies only to your first purchase and does not apply to any automatic subscription renewals (either monthly or annual).

e) Effect of Cancellation (Annual Plans): If you are on an Annual Plan and cancel after the initial 14-day refund window, you will not be eligible for a refund for the remaining portion of your term. Your access to the Service's paid features will continue until the end of your paid one-year term.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, post, or transmit any content that is unlawful, hateful, fraudulent, or discriminatory.

  • Violate the privacy or data protection rights of others, including other residents in your condominium.

  • Send spam or other unsolicited commercial communications.

  • Attempt to gain unauthorized access to our systems, or engage in any activity that disrupts or interferes with the Service.

  • Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service.

7. User Content

You (or your condominium association) retain all ownership rights to the data, text, and information you upload to the Service ("User Content").

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and display your User Content solely for the purpose of operating, providing, and improving the Service.

You are solely responsible for your User Content and for maintaining your own backups.

8. Intellectual Property

The Service itself, including all software, logos, graphics, and trademarks (excluding User Content), is the exclusive property of Coproly and its licensors.

9. Disclaimers and Limitation of Liability

a) "AS IS" Service: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, that the Service will be uninterrupted, error-free, or secure.

b) Limitation of Liability: To the maximum extent permitted by law, in no event shall Coproly, its directors, or its employees be liable for any indirect, incidental, special, or consequential damages (including loss of data, revenue, or profits) arising out of your use of, or inability to use, the Service.

Our total liability to you for any and all claims arising from the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the claim.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
